1. Agreement to these Terms
These Terms of Service (“Terms”) are a binding agreement between you and Vectrip LLC (“Vectrip,” “Oryvant,” “we,” “us,” or “our”) governing your access to Creator.Oryvant and its websites, applications, APIs, integrations, generated content, and related services (collectively, the “Service”). Creator.Oryvant is a service operated by Vectrip LLC.
If you use the Service for a company or other organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization. If you do not agree to these Terms, do not use the Service.
2. Eligibility and accounts
- You must be at least 18 years old and legally able to enter into a contract.
- You must provide accurate account information and keep it current.
- You are responsible for your credentials and all activity under your account.
- You may not share an individual account except through supported workspace features.
- You must notify us promptly if you suspect unauthorized access.
You are responsible for ensuring that each person you invite to a workspace is authorized to access its projects, brand materials, connected accounts, and content.
3. The Service and AI-generated output
OryvantCreator helps users analyze public business websites, develop content ideas, generate and edit text and images, organize campaigns, connect supported social accounts, and schedule or publish content. Available features and platform integrations may vary by plan, account, location, and release stage.
Artificial intelligence can produce inaccurate, incomplete, offensive, or non-unique output. You must review content for accuracy, legality, brand suitability, required disclosures, and third-party rights before using or publishing it. Oryvant does not provide legal, financial, medical, or other professional advice.
4. Your content and instructions
As between you and Oryvant, you retain ownership of content you submit to the Service (“Input”). Subject to applicable law and any third-party rights, you own the generated output created specifically for you (“Output”). We do not claim ownership of your Input or Output.
You grant Oryvant a worldwide, non-exclusive, limited license to host, copy, process, transmit, display, modify, and create technical derivatives of Input and Output only as needed to provide, secure, support, and improve the Service and fulfill your instructions.
You represent and warrant that:
- You have all rights and permissions needed to submit Input and direct us to process it.
- Your content and instructions do not violate law, these Terms, or another person’s rights.
- You are authorized to publish to every social account or page you connect.
- You will comply with advertising, endorsement, privacy, intellectual-property, and platform rules.
5. Acceptable use
You may not use the Service to:
- Create, distribute, or promote unlawful, fraudulent, deceptive, harassing, or harmful material.
- Infringe intellectual-property, privacy, publicity, confidentiality, or other rights.
- Impersonate others, misrepresent affiliation, or conduct coordinated inauthentic activity.
- Generate spam, malware, phishing, credential theft, or unauthorized automated outreach.
- Publish regulated or high-risk claims without required review, substantiation, and disclosures.
- Probe, disrupt, overload, reverse engineer, or bypass security or usage restrictions.
- Access another user’s data or connect an account without authorization.
- Resell or provide the Service to third parties unless your plan or a written agreement permits it.
- Use the Service or its output to develop a competing model or service where prohibited by law.
We may investigate suspected violations and remove content, restrict features, or suspend accounts when reasonably necessary to protect users, third parties, platforms, or the Service.
6. Third-party services and social platforms
The Service may interoperate with social networks, AI providers, payment processors, website hosts, and other third parties. Your use of those services is governed by their terms and policies. Oryvant is not responsible for third-party services, platform outages, policy changes, rejected content, account restrictions, or actions taken by those providers.
When you connect a social account, you authorize us to use the permissions you approve to retrieve account information and publish or schedule content at your direction. You can disconnect an account at any time, but this will not remove posts already published.
7. Subscriptions, billing, and cancellation
- Paid plans are billed in advance on the recurring interval shown at purchase, plus applicable taxes.
- Subscriptions renew automatically unless canceled before the next renewal date.
- You authorize our payment provider to charge your selected payment method for recurring fees.
- You may cancel from account settings. Cancellation takes effect at the end of the paid billing period.
- Except where required by law or expressly stated otherwise, fees are non-refundable and unused quotas do not roll over.
- We may change pricing with advance notice. New pricing applies no earlier than your next renewal after the notice period.
Trials and promotional offers may have additional conditions shown when you enroll. If a trial requires a payment method, it may convert to a paid subscription unless canceled before the trial ends.
8. Oryvant ownership and feedback
Oryvant and its licensors own the Service, software, interfaces, workflows, trademarks, documentation, and all related intellectual-property rights, excluding your Input and Output. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service while your account remains in good standing.
If you provide ideas or feedback about the Service, you grant us the right to use them without restriction or compensation, provided we do not identify you publicly without permission.
9. Availability, changes, and beta features
We work to keep the Service reliable but do not guarantee uninterrupted or error-free operation. We may modify, add, limit, or discontinue features for security, legal, technical, or business reasons. We will provide reasonable notice when a material change significantly reduces a paid core feature, where practicable.
Preview, beta, or experimental features may be changed or withdrawn at any time and may be less reliable than generally available features.
10. Disclaimers
To the maximum extent permitted by law, the Service and all output are provided “as is” and “as available.” Oryvant disclaims all express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted availability.
You are solely responsible for reviewing, approving, publishing, and monitoring your content and for any business, legal, or reputational consequences of using it.
11. Limitation of liability and indemnity
To the maximum extent permitted by law, Oryvant and its affiliates, officers, employees, agents, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption.
To the maximum extent permitted by law, Oryvant’s total liability for all claims relating to the Service will not exceed the greater of US $100 or the amount you paid Oryvant for the Service during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
You agree to defend and indemnify Oryvant from third-party claims, damages, and reasonable costs arising from your content, connected accounts, violation of these Terms, or infringement of another person’s rights, except to the extent caused by Oryvant’s own misconduct.
12. Suspension and termination
You may stop using the Service or request account deletion at any time. We may suspend or terminate access if you materially violate these Terms, create security or legal risk, fail to pay fees, or use the Service in a way that could harm Oryvant, users, or third parties. Where appropriate, we will provide notice and an opportunity to cure.
After termination, your right to use the Service ends. Provisions that by their nature should survive will survive, including ownership, payment obligations, disclaimers, liability limitations, indemnity, and general legal terms.
13. General terms
Our Privacy Policy explains how we handle personal information. These Terms, together with any plan-specific terms or written order form, are the entire agreement concerning the Service and supersede prior discussions.
If a provision is unenforceable, it will be modified only as much as necessary and the remainder will continue in effect. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or sale of assets. A failure to enforce a provision is not a waiver.
Applicable law and courts will be determined by mandatory law and, for business customers, any written order form. Before filing a formal claim, you agree to contact us and attempt in good faith to resolve the dispute informally for at least 30 days.
We may update these Terms. Material changes will be communicated as required by law. Continued use after an updated effective date means you accept the revised Terms. Questions may be sent to admin@vectrip.com.
